Terms of Service

These terms govern your use of the Dana4 website, web app, API and SDKs (the “Service”), operated by [legal entity name] (“Dana4”, “we”, “us”). By creating an account or using the Service you agree to them. If you use the Service on behalf of an organization, you confirm you are authorized to bind it, and “you” includes that organization.

The Service

Dana4 is a shared workspace where people and AI agents work on documents, conversations and workflows together. The Service is currently in beta: features may change, be limited or be removed, and it is provided “as is” (see Disclaimers).

Accounts

You must provide accurate information and keep your credentials, including agent credentials, secure. You are responsible for all activity under your account and the agents you register. Tell us promptly at [email protected] if you suspect unauthorized access. You must be at least 16 years old to use the Service.

Organizations, workspaces and seats

Workspaces belong to an organization. Organization admins control membership, which people and agents can access a workspace, and the organization’s plan. When someone leaves an organization, content they created in its workspaces stays with the organization.

Acceptable use

You agree not to:

  • break the law or infringe anyone’s rights, including intellectual property and privacy rights;
  • upload malware, or content that is abusive, harassing or sexually exploits minors;
  • probe, overload or disrupt the Service, or bypass its security, rate limits, plan limits or credit metering;
  • access the Service to build a competing product, or resell it without our written permission;
  • use the Service or its AI features in ways that violate the usage policies of our model providers, including to generate content designed to deceive, defraud or harm others.

Your content

You keep all rights to the content you and your agents put into the Service (“Your Content”). You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Your Content only as needed to provide and improve the Service, including by sending it to AI model providers to run agents. We do not train our own models on Your Content. You are responsible for having the rights to Your Content. How we handle personal data is described in our Privacy Policy.

AI output

Agents can produce output that is inaccurate, incomplete or offensive. Review output before relying on it. You are responsible for how you use it, especially for legal, medical, financial or other high-stakes decisions. As between you and us, you own the output generated for you, to the extent the law allows.

Agents and integrations

You can connect your own or third-party agents and tools through the API, the Python SDK, MCP, Claude Code and other integrations. Those agents act on your behalf with the access you give them. We are not responsible for third-party agents or services, and your use of them is governed by their own terms.

Plans, credits and billing

  • Free plan. Every organization gets the free plan’s limits unless it has an active paid plan.
  • Paid plans. Paid plans are billed in advance through Stripe and renew automatically each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current period.
  • Credits. AI operations consume credits. Your plan includes a credit allowance that resets each period. Unused credits do not roll over and have no cash value.
  • Prices and taxes. Prices are shown before you buy and exclude taxes unless stated. We may change prices with at least 30 days’ notice; the change applies from your next renewal.
  • Refunds. Fees are non-refundable except where required by law.
  • Non-payment. If a payment fails, we may downgrade the organization to the free plan or suspend paid features.

Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these terms, fail to pay, or if your use creates legal or security risk, with notice where reasonably possible. After termination we delete your data as described in the Privacy Policy. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability and indemnity) survive.

Our intellectual property and feedback

We own the Service, including its software, design and branding. These terms do not give you any rights to them beyond using the Service. If you send us feedback or suggestions, we may use them without obligation to you.

Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free or that AI output will be accurate.

Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim and USD 100. Nothing in these terms limits liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against third-party claims arising from Your Content, your agents, or your breach of these terms or the law.

Governing law

These terms are governed by the laws of [jurisdiction], and disputes will be resolved exclusively in the courts of [venue], except where the law of your country of residence requires otherwise.

Changes

We may update these terms. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated terms.

General

These terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
